These general terms and conditions (GTC) define the framework of partnership between Transtext and its clients. The client accepts the present terms and conditions with the placing of an order.

Orders

1. The orders and documents to be translated are delivered by electronic mail - exceptionally by fax - and the translations are returned to the client by electronic mail.
2. Expenses due to any other means of delivery (express mail etc.) will be invoiced.
3. Contract shall take effect on acceptance in writing (via electronic mail) by the client, of the quotation and the delivery dates submitted by Transtext.
4. A delivery is regarded as made if the electronic dispatch of the translation can be proved.
5. The translation assignment shall be determined on the basis of the number of keystrokes.
6. The invoice for orders performed by Transtext will be drawn up on the basis of the translated text.
7. The minimum fee per translation is Fr. 50--.
8. Invoices are payable within 30 days after invoice date. Prices are only quoted in Swiss francs.

Liability

1. The client alone is solely liable for the contents, correctness, completeness or quality of the information provided in the documents transmitted to Transtext.
2. Liability claims regarding damage caused by the use of any information provided, including any kind of information which is incomplete or incorrect, will therefore be rejected.
3. The client alone is responsible for ensuring that the documents, texts, web contents and other data transmitted to Transtext comply with all applicable laws and infringe the rights of no third parties.
4. The inclusion of any link in the translated document does not imply endorsement, investigation or verification by Transtext of the linked site.
5. Transtext reserves the right to reject orders which cannot be performed relating to unlawful texts.
6. Transtext is required to perform all orders in the fixed delivery dates.
7. Transtext, however, is not liable for non-performance or delay in performance of its obligations in case of a technical difficulty (power cuts, computer system failures), or of a sudden illness of the translator or any other unpredictable events constituting inability to work. In that case, the delivery will be made at the earliest opportunity, in agreement with the client, taking account of the mutual interests. Should no agreement be reached in any such negotiations, both the customer and Transtext may rescind the contract.
8. Transtext is not responsible for damage or loss of documents or data which arise due to natural occurrences, robbery, fire and water damage, or to the use of modern technologies, network or server faults, transmission defect and other objections beyond its scope of intervention.
9. Transtext shall likewise bear no liability for any loss or damage caused by computer viruses.

Client's obligation

1. The client is required to supply an understandable and legible manuscript. Transtext is not responsible for any mistakes due to inaccurate, unclear, incomplete or illegible documents supplied by the client.
2. Any change made by the client after the offer, affecting the content and/or volume of the material is considered to be a new order. It shall constitute the subject of a separate offer - including delivery dates and shall be invoiced additionally.
3. In the event of an order being withdrawn or postponed by the client, the client shall be liable for payment of that part of the order that has already been executed up to the date of cancellation or postponement.
4. In the case of translations performed by Transtext being intended for publication (leaflets, websites, brochures, etc.), the client shall provide the translator with a proof print duly before printing, as to correct any possible errors or mistakes. This proofreading - free of charge - consists exclusively in reviewing the correct use of the language and does not comprise a review of typographic or other design aspects.

Confidentiality and safekeeping of documents

1. The translator shall maintain secrecy during and after the course of work provided.
2. However, In view of the electronic transfer of texts and data, Transtext cannot guarantee absolute protection of trade and information secrets because the possibility cannot be precluded that unauthorised third parties gain access by electronic means to the texts and data that have been transmitted.
3. On delivery of the translation and after receipt of payment, Transtext is under no further obligation to keep the translations and documents delivered by the client.

Invalidity of clauses

1. Should any of the conditions above be invalid, regulations shall be inserted in place of the invalid conditions. The remaining terms and conditions in this agreement shall nevertheless remain in force even in the event of the legal invalidity of individual conditions.

Place of jurisdiction and applicable law

1. These general terms and conditions are subject to Swiss law.
2. The exclusive place of jurisdiction is Winterthur.
